Terms & Conditions

These Terms and Conditions ("Terms") govern all services provided by Ordinary Madness ("OMAD," "we," "us," "our"), a creative agency operating out of Amsterdam, the Netherlands, to any client ("Client," "you") who engages us for creative, branding, marketing, web, or related services. By submitting payment, signing a proposal, or engaging OMAD in any paid capacity, you agree to these Terms.

1. Scope of Services Services are defined per project in a written proposal, statement of work (SOW), or agreement ("Engagement"). Any work outside the agreed scope is considered additional and will be quoted and approved separately before work begins.

2. Fees and Payment

  • All fees are quoted in USD or EUR as specified in your Engagement.

  • Unless otherwise agreed in writing, projects require a non-refundable deposit (typically 50%) to secure the project timeline and begin work, with the balance due upon completion or per agreed milestones.

  • Retainer clients are billed in advance on a recurring monthly basis.

  • Invoices are payable within [7] days of the invoice date unless otherwise agreed. Late payments may incur a fee of 10% per week and may result in pause of work until the account is current.

  • Accepted payment methods include bank transfer and card payment via Wise.

3. Timelines Project timelines are estimates based on the scope agreed at the outset and are contingent on timely feedback, approvals, and delivery of assets/content from the Client. Delays on the Client's end may shift delivery dates accordingly.

4. Revisions Each Engagement includes a defined number of revision rounds, specified in the proposal or SOW. Revisions beyond that scope will be billed at OMAD's standard hourly rate or quoted separately.

5. Intellectual Property Upon full and final payment, ownership of final approved deliverables transfers to the Client, unless otherwise stated in the Engagement. OMAD retains the right to display completed work in its portfolio, case studies, and marketing materials unless the Client requests otherwise in writing (e.g., under an NDA). OMAD retains ownership of any proprietary tools, templates, frameworks, or pre-existing IP used to produce the work.

6. Client Responsibilities The Client agrees to provide timely feedback, necessary brand assets, approvals, and accurate information required for OMAD to complete the Engagement. Delays caused by the Client do not extend liability to OMAD for missed timelines. 

7. Limitation of Liability OMAD's total liability for any claim arising from an Engagement is limited to the total fees paid by the Client for that specific Engagement. OMAD is not liable for indirect, incidental, or consequential damages, including loss of revenue or business opportunity.

8. Confidentiality Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the Engagement, except where disclosure is required by law.

9. Governing Law These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles, unless a separate signed agreement with the Client specifies otherwise.

10. Changes to These Terms OMAD may update these Terms from time to time. Continued engagement of services after changes are posted constitutes acceptance of the revised Terms.

Cancellation Policy

Project-Based Engagements

  • Clients may cancel a project at any time by providing written notice.

  • Work completed up to the point of cancellation will be invoiced at the agreed rate.

  • Deposits are non-refundable, as they secure your project slot on OMAD's calendar and cover initial planning, strategy, and resource allocation.

  • Any prepaid milestone fees for work not yet started will be refunded, minus a 20% administrative fee.

Retainer Engagements

  • Retainer agreements may be cancelled by either party with 30 days' written notice.

  • The Client remains responsible for payment of the current billing cycle in full.

  • No partial refunds are issued for a retainer month already in progress, as capacity for that month has already been reserved.

Rescheduling If a Client needs to pause or reschedule a project, OMAD will make reasonable efforts to accommodate, though this may affect the original delivery timeline and may incur a rebooking fee if the pause exceeds 30 days.

Refund Policy

Because OMAD provides custom creative and strategic services rather than off-the-shelf products, refunds are handled as follows:

  • Deposits are non-refundable once work has commenced, as they compensate OMAD for reserved time, planning, and resource allocation.

  • Completed milestones or deliverables that have been approved by the Client are non-refundable.

  • Prepaid work not yet started may be refunded minus a 20% administrative fee, at OMAD's discretion.

  • Dissatisfaction with creative direction: OMAD is committed to collaborative revisions within the agreed scope before a refund would be considered. If, after reasonable revision attempts, the Client and OMAD cannot reach a satisfactory outcome, a partial refund proportional to unused/undelivered work may be issued at OMAD's discretion.

  • Payment processing errors or duplicate charges will be refunded in full upon verification.

  • To request a refund, contact [insert contact email] with your invoice number and reason for the request. Refund requests are reviewed within [5-10] business days.

Refunds, where approved, will be issued to the original payment method in the currency originally charged (USD or EUR).
